GENERAL TERMS AND CONDITIONS OF SALE

These terms and conditions of sale are concluded, on the one hand, by ZNR DISTRIBUTION SPRL, a company with a share capital of €250,000, whose registered office is located at 14, rue de l'autonomie - 1070 BRUSSELS, registered with the Brussels Commercial Register under number BE 0841 338 309, and on the other hand, by any natural or legal person wishing to make a purchase via the ZNR DISTRIBUTION SPRL website, hereinafter referred to as: http://www.bluewellford.com

Article 1: Subject of the contract

The purpose of these general terms and conditions of sale is to define the contractual provisions between ZNR DISTRIBUTION SPRL and the customer and the conditions applicable to any purchase made through the www.bluewellford.com merchant site.

ZNR DISTRIBUTION SPRL reserves the right to modify these general terms and conditions of sale at any time by publishing a new version on the site. The applicable general terms and conditions of sale are those in force on the site on the date of placing the order by the customer. Any order of a product offered on the site implies the full and unreserved acceptance by the customer of the general terms and conditions of sale in force at the time of placing their order.

Article 2: Products

The items offered are those listed in the catalog published on the ZNR DISTRIBUTION SPRL website. These items are offered within the limits of available stock. Each item is accompanied by a description prepared by ZNR DISTRIBUTION SPRL. The photographs in the catalog are as accurate as possible but cannot guarantee a perfect similarity with the item offered, particularly regarding colors and materials.

ZNR DISTRIBUTION SPRL also undertakes to deliver products that comply with European provisions regarding the safety and health of individuals, and particularly with legislation on regulated chemical substances.

However, it is important to note that the products offered by ZNR DISTRIBUTION SPRL are all types of clothing and accessories made of leather. This material stretches slightly over time and softens, which implies a modification or slight transformation of the product with use.

Article 3: Prices

The prices of the products listed in the catalog are all taxes included, expressed in euros, taking into account the VAT applicable on the day of the order, excluding delivery costs. Any change in the rate may be passed on to the price of the items. ZNR DISTRIBUTION SPRL reserves the right to modify its prices at any time, it being understood that the price listed in the catalog on the day of the order will be the only one applicable to the customer.

In the event of an erroneous price display, manifestly ridiculously low, whatever the reason (computer bug, manual error, technical error), the order - even if validated - will be cancelled, of which the customer will be informed as soon as possible. They will then be able, if they wish, to place their order again at the corrected and verified price.

Article 4: Order and payment for products

4.1 Placing an order

The customer places an order on the website www.bluewellford.com/ To purchase one or more items, they must follow the following order steps:

  1. They choose the product(s) of their choice by clicking on the "Buy" icon and adding them to their cart after having previously selected the desired size, color, or quantity. The cart located at the top right of the screen informs them that their selections have been taken into account.
  2. A screen informs them that they have the choice between continuing their purchases or finalizing their order.
  3. They then check the contents of their cart and click on "Next step."
  4. They have the option to create an account if it's their first time ordering, or to enter their username (e-mail address) and password if they have already placed an order on the site.
  5. Once logged in, they enter their delivery and billing address in the case of a first order. If the customer has already placed an order on the site, they have a customer account. The aforementioned addresses are automatically saved.
  6. They then decide on the delivery method and continue their order.
  7. A summary of their order allows them to modify their delivery address or billing address. The customer must accept the general terms and conditions of sale to proceed to the next step.
  8. They then choose their payment method and will then reach the secure payment screen of the ZNR DISTRIBUTION SPRL partner as specified in Article 4.3 below.

The customer may at any time during the ordering process view the details of their order as well as its total price and correct any errors before confirming it to express their acceptance.

4.2 Order confirmation

Upon acceptance of the customer's payment, the latter will receive an email confirmation of their order, summarizing all the items ordered, the delivery address, and the delivery date.

The validation of the order by the customer and the order confirmation sent to the customer by email by ZNR DISTRIBUTION SPRL following the acceptance of payment constitute the conclusion of a sales contract between the Parties and acceptance of the General Terms and Conditions of Sale. The customer who has placed an order will have the option to print their invoice by logging into the site in the order tracking area provided for this purpose.

ZNR DISTRIBUTION SPRL reserves the right not to validate the order in case of:

  • abnormal or abusive complaints,
  • abnormal orders in terms of quantities ordered,
  • abnormal or abusive exchanges and returns,
  • existing dispute(s) with the customer.

4.3 Payment

Payment for purchases is made via one of the following two methods, at the customer's convenience:

  1. By credit card (Visa, Carte Bleue, Eurocard/Mastercard):

The customer will access the secure payment screen. They will then have to enter their credit card number, its validity date, and the 3 numbers of the visual cryptogram on the back of the card. If the payment is accepted, the customer will be redirected to an order confirmation screen.

In case of payment failure, the customer has up to 3 attempts to re-enter their bank details. After the 3rd refusal, the customer will be redirected to the site to a screen indicating the payment refusal. The customer will then be invited to contact the customer service of ZNR DISTRIBUTION SPRL to find out the reasons.

The price is payable in full, on the day the order is placed by the customer.

ZNR DISTRIBUTION SPRL is not obliged to deliver the ordered products if the price has not been paid in full in advance. Unless otherwise stipulated, no discount is granted. ZNR DISTRIBUTION SPRL therefore reserves ownership of the items until full payment of the order, i.e., until the order price has been collected.

ZNR DISTRIBUTION SPRL reserves the right to cancel or refuse any order from a customer with whom there is a dispute relating to the payment of a previous order. Any order implies acceptance of the prices and descriptions of the items available for sale.

ZNR DISTRIBUTION SPRL undertakes to fulfill orders received on the website only within the limits of available stock.

All information exchanged to process the payment is encrypted using the SSL (Secure Socket Layer) protocol. This data cannot be detected, intercepted, or used by third parties. At no time does the customer's financial data pass through the IT system of ZNR DISTRIBUTION SPRL.

Fight against banking fraud

The information related to the customer's order is subject to automated data processing for which FIA-NET S.A. is responsible. The purpose of this automated data processing is to define a level of analysis of a transaction and to combat credit card fraud.

FIA-NET S.A. and the merchant where the customer makes their purchase are the recipients of the data related to their order. The non-transmission of data related to their order prevents the execution and analysis of their transaction.

The occurrence of an unpaid amount due to fraudulent use of a credit card will result in the registration of the contact details related to the order associated with this unpaid amount in a payment incident file implemented by FIA-NET S.A. An irregular declaration or an anomaly may also be subject to specific processing.

In accordance with the Data Protection Act of January 6, 1978, the customer has, at any time, the right to access, rectify, and object to all of their personal data by writing, by mail and by proving their identity, to FIA-NET S.A. – Service Informatique et Libertés – Traitements n°773061 et n°1080905 – 39, rue Saint-Lazare, 75009 PARIS.

4.4 Order archiving

The order confirmation is recorded in the registers of ZNR DISTRIBUTION SPRL, themselves kept on a reliable and durable medium. The customer accepts that the order confirmation is considered as proof of the contractual relations between the Parties.

Article 5: Delivery

ZNR DISTRIBUTION SPRL ensures product delivery to metropolitan France, Andorra, Monaco, Luxembourg, Belgium, Switzerland, Spain, Italy, Germany, Poland, England, Ireland, Sweden, Denmark, and the United States.

ZNR DISTRIBUTION SPRL will deliver orders accompanied by a delivery note within a maximum of 10 working days for delivery to metropolitan France, Andorra, Monaco, Luxembourg, Belgium, Switzerland, Spain, Italy, Germany, Poland, England, Ireland, Sweden, Denmark, and the United States, and 6 working days for delivery to Belgium, starting from the day after payment of the order.

Any order registered on the site from Monday to Thursday before 3 p.m. will be processed the same day; after 3 p.m., it will be processed the following day. Any order placed on Friday after 3 p.m., on Saturday and Sunday will be processed the following Monday; it being specified that orders placed on a public holiday will be processed the next working day.

In case of exceeding the delivery time, not justified by a case of force majeure, the customer may request the cancellation of the sale and obtain reimbursement of the amounts paid for the sale within a maximum of 30 days. In the case of delivery via Relai Colis, this period is extended to 40 days.

ZNR DISTRIBUTION SPRL undertakes to deliver the product within the time indicated to the customer or on the precise date unless the parties have agreed otherwise.

In case of non-compliance, the customer may cancel their order by registered letter with acknowledgment of receipt or in writing on another durable medium.

If the delivery of the order has still not occurred 14 days after the dispatch of the registered letter, or if the customer has no information concerning its cancellation, ZNR DISTRIBUTION SPRL undertakes to reimburse all sums paid by the customer, by granting an automatic increase of 10% if the reimbursement occurs no later than 30 days beyond the deadline, 20% up to 60 days, and 50% thereafter.

Article 6: Receipt of the order

The customer is required to check the good condition and conformity of the delivered items. Any anomaly noted (missing item, damaged item, non-conforming item, damaged package, etc.) must be reported within 14 days following receipt.

This notification must be sent to the customer service of ZNR DISTRIBUTION SPRL either:

After this period, except in case of hidden defects, the products will be deemed compliant by ZNR DISTRIBUTION SPRL. No claims will be accepted.

If the product is non-compliant, it must not have been worn and must be in its original packaging.

The customer must then follow the following return procedure:

  • Access their customer account on http://www.bluewellford.com
  • Select the relevant order,
  • Select the non-compliant product,
  • Complete the reason for return and print the return slip,
  • Return, within a maximum of 14 days, the return slip and the item at their expense by writing the return number on the package to this address:

The customer must strictly adhere to this procedure. Otherwise, no returns will be accepted. The risks and costs associated with the return of the product are the sole responsibility of the customer.

When the non-conformity of the product is confirmed, the customer will be offered:

  • The shipment of a new conforming item,

Or

  • The shipment of a credit note, for the amount of the returned product,

Or

  • Reimbursement of the amount of the returned product, no later than 30 days from the date of sending the confirmation of non-conformity by ZNR DISTRIBUTION SPRL customer service.

Article 7: Right of withdrawal

The customer has a period of 14 days from the date of receipt of their order to return the ordered product, without having to give reasons for their decision and without incurring costs other than those provided for.

For any return, the following procedure must be fully respected:

  • The return is made by postal mail to the following address:

  • Return costs are borne by the customer.
  • The product must be in its original packaging, with its label and any accessories, in perfect resalable condition. It must therefore not have been worn, washed, or damaged.
  • The customer must imperatively enclose with their package the return slip to be completed and printed in their customer area.
  • Reimbursement will be made within a maximum of 14 days after the decision to withdraw by bank credit.
  • In the case of a request for a credit note, the sum will be credited to the customer account within a maximum of 7 working days after receipt of the return. Any credit note contracted on the site will not be refundable. It must be used as payment for a subsequent purchase on the site. Under no circumstances can the return of an item paid for by credit note give rise to a refund; the new sum will be credited as a credit note to the internet user's customer account.

If these conditions are not met, ZNR DISTRIBUTION SPRL reserves the right not to accept the customer's return.

For any exchange within the framework of the right of withdrawal, the following procedure must be fully respected:

  • Exchanges are made exclusively on the e-commerce site www.bluewellford.com
  • The product must be in its original packaging, with its label and any accessories, in perfect resalable condition. It must therefore not have been worn, washed, or damaged.
  • The customer can exchange their item for a different size or another model. The exchange value is that indicated on their exchange slip (VAT included, discount deducted).
  • In the case of an exchange for a product of a higher amount, the difference will be borne by the customer.
  • In the case of an exchange for a product of a lower amount, ZNR DISTRIBUTION SPRL will not refund the difference, but the customer may complete their purchase with another item. If they do not find a suitable item, ZNR DISTRIBUTION SPRL undertakes to transfer a credit note to their customer account.

If these conditions are not met, the company ZNR DISTRIBUTION SPRL reserves the right not to exchange the product.

Article 8: Personal Data

The company ZNR DISTRIBUTION SPRL collects a certain amount of information necessary for order processing.

This data is not only necessary for the processing of the customer's order by ZNR DISTRIBUTION SPRL, but also to provide the customer with information about the Blue Wellford brand on the website or to allow them to benefit from Blue Wellford commercial offers; if and only if the customer accepts it by validating their order.

The information is strictly confidential and is marked with an asterisk (*) when it is necessary for ZNR DISTRIBUTION SPRL in the context of managing the customer's order.

Following any injunction from legal authorities or to defend its rights or those of its employees, customers, or any other person, the company ZNR DISTRIBUTION SPRL may communicate this data to legally authorized bodies and authorities.

The company ZNR DISTRIBUTION SPRL undertakes to take all useful precautions to ensure the security of its files and the protection of its computer system, and in particular to prevent the customer's personal information from being distorted, damaged or accessed by unauthorized third parties.

The customer's personal information is sent and stored with the website host located in France, whose contact details are available on the website under the heading "Legal Notice".

In accordance with the "Informatique et Liberté" law of January 6, 1978, as amended by the law of August 6, 2004, the customer has a right to access, rectify, modify, and delete data concerning them.

The customer can exercise this right by sending a letter specifying their name, first name, email, and postal address to the following address:

Article 9: Cookies

To process the customer's order, and to better understand their needs and personalize the services offered on the website, the company ZNR DISTRIBUTION SPRL uses cookies.

A cookie is a computer file stored on the hard drive of the customer's computer, whose purpose is to signal their visit to the website.

Cookies store the customer's visit time on the website, their identity (known through their email address and password), and the contents of their shopping cart. Once the customer logs out of the website, this information is stored for 30 days before being permanently deleted.

The customer can object to the recording of cookies by configuring their Internet browser. They will then lose all personalization of the service offered to them on the website.

Article 10: Limitation of Liability

Placing an order on the website implies knowledge and acceptance of the procedures in force on the Internet network, particularly concerning technical performance, response times, connection, inquiries or information transfers, risks of interruption, risks of contamination by viruses circulating on the network, and generally all risks related to the use of the Internet network.

Therefore, ZNR DISTRIBUTION SPRL cannot be held responsible for any direct or indirect damage resulting from improper use or an incident related to the use of the computer, Internet access, server maintenance or malfunction, telephone line, or any other technical connection, the customer's connection to the website being their sole responsibility.

Article 11: Force Majeure

ZNR DISTRIBUTION SPRL shall not be liable for the total or partial non-performance of its obligations under the order placed by the customer if such non-performance is caused by an event constituting a case of force majeure as defined by positive law.

In such a case, ZNR DISTRIBUTION SPRL will inform the customer of the occurrence of such an event within 3 clear days of its occurrence, by email.

After a period of 1 month, and in the event that the event constituting a case of force majeure persists, the order will be cancelled and, if applicable, will be subject to a refund from ZNR DISTRIBUTION SPRL to the bank card or PayPal account used for placing the order within a maximum of 30 days.

Article 12: Applicable Law

If any of the terms of these General Terms and Conditions of Sale are declared void, illegal, or unenforceable by judicial decision, the other provisions of the General Terms and Conditions of Sale will remain in force.

The general terms and conditions of sale are executed and interpreted in accordance with French law.

In the event of disputes, the customer shall primarily contact ZNR DISTRIBUTION SPRL to obtain an amicable solution, and failing an agreement, the ordinary courts shall have sole jurisdiction.

Article 13: Intellectual Property Rights

The company ZNR DISTRIBUTION SPRL owns and holds the rights of use over all photos and images on the website. Any reproduction, representation, modification, publication, adaptation of the photos and images on the website, regardless of the means or process used, is prohibited, unless prior written authorization from ZNR DISTRIBUTION SPRL. Any unauthorized exploitation of the photos or images on the website will be considered an infringement and prosecuted in accordance with the provisions of articles L.335-2 and following of the Intellectual Property Code.
